Resale Certificate

I HEREBY CERTIFY: That I hold a valid seller's Permit # issued pursuant to the Sales & Use Tax Law; that I am engaged in the business selling. That the tangible personal property described herein which I shall purchase from ALPHA FERN CO., LLC will be resold by me in the form of tangible personal property: provided, however, that in the event of any such property is issued for any purpose other than retention, demonstration, or display while holding it for sale in the regular course of business, it is understood that I am required by the Sales & Use Tax Law to report and pay tax, measured by the purchase price of such property.

The undersigned being an owner, member and/or stockholder of the above Business, hereby personally guarantees and agrees to pay any indebtedness due by the Business to ALPHA FERN CO., LLC or any principle represented by ALPHA FERN CO., LLC from whom this Business may purchase merchandise in the future. I acknowledge that the following conditions will apply to all purchases from ALPHA FERN CO., LLC:

1. A finance charge of 2% per month shall be assessed on any account balance not paid within 30 days of the date of the statement.
2. Should any account be delinquent and should it be referred to an attorney or collection agent for collection assistance, a collection charge of 33% of the account balance will be added to the account. Certainly, you will be notified prior to any action.
3. I acknowledge that this is a legal obligation and I have not altered it before signing it.
